Terms & Conditions
Last updated: 15 July 2026
1. These terms
These terms govern your use of the SearchSoda website and, together with any written proposal or order we agree with you, the services we provide — including our agency services and the Launchpad website subscription. By using this website or buying our services you accept them. "We" and "us" means SearchSoda, London, United Kingdom (support@searchsoda.com).
2. Using this website
Content on this website is provided for general information and does not constitute professional advice. We work to keep it accurate but do not guarantee it is complete or current. Unless stated otherwise, the text, images, design and branding on this site belong to us or our licensors; you may not reproduce them commercially without permission. Links to other websites are provided for convenience — we are not responsible for their content. Tools such as the website grader and quote builder produce automated indicative output only.
3. Agency services
Quotes and engagement. Quotes are valid for 30 days unless stated otherwise. Work begins when you accept a quote or proposal and pay any agreed deposit. The scope is what the accepted proposal describes; changes are agreed and priced separately.
Payment. Invoices are payable within 14 days unless we agree otherwise. We may pause work on overdue accounts and charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
Your responsibilities. You will provide the materials, access and approvals we reasonably need, on time, and you warrant that materials you supply don't infringe anyone else's rights and comply with the law.
Intellectual property. On full payment, deliverables we create specifically for you are assigned to you. We keep ownership of our pre-existing tools, frameworks, templates and know-how, and grant you a licence to use them within the deliverables. We may reference completed work in our portfolio unless you ask us not to.
No guaranteed results. Search rankings, advertising performance and AI-search visibility are controlled by third parties (such as Google, Meta and AI platforms) and change constantly. We apply professional skill and current best practice, but we do not and cannot guarantee any particular ranking, traffic level, lead volume or revenue outcome, and we are not responsible for changes third-party platforms make to their algorithms, policies or pricing.
Ending an engagement. Either party may end an ongoing engagement with 30 days' written notice. You pay for work done up to the end date. Either party may end immediately if the other seriously breaches these terms and doesn't fix the breach within 14 days of being asked.
Confidentiality. Each of us will keep the other's non-public business information confidential and use it only for the engagement.
4. Launchpad subscriptions
The service. Launchpad is a subscription website service: we build and host a website for your business at a launchpad.searchsoda.com subdomain (or your own domain once approved), with hosting, maintenance and the customer dashboard included, at the price shown at checkout (currently £99/month or £599/year).
Billing and renewal. Subscriptions are billed in advance by Stripe and renew automatically each month or year until cancelled. Prices may change with at least 30 days' notice, taking effect from your next renewal.
Cancelling. You can cancel at any time from your dashboard or by emailing us. Cancellation takes effect at the end of the period you've paid for; we don't offer partial refunds for unused time except where the law requires. If you are a consumer rather than a business, you have a 14-day statutory cancellation right; by asking us to start building your site within that period you acknowledge that if you cancel after the service has begun you may be charged for the value of what has been supplied.
Build and changes. We aim to have your site live within 48 hours of receiving what we need from you — this is a target, not a guarantee. You can edit your content through the dashboard, and we make reasonable adjustments as part of the service.
Content and ownership. Text, images and information you supply remain yours; you grant us a licence to host and display them to run your site. The Launchpad platform, templates, code and designs remain ours; you get a licence to use them for your site while subscribed. Stock photography is licensed for use within your site.
Your obligations. You are responsible for the accuracy and legality of your content, for having the rights to anything you upload, and for complying with our Acceptable Use Policy, which forms part of these terms. Your site includes its own privacy, terms and cookies pages naming your business — you are the data controller for your visitors' personal data, and we process it on your behalf as described in our Privacy Policy.
Suspension and termination. We may suspend or end a subscription for non-payment or serious or repeated breach of these terms or the Acceptable Use Policy. On termination your site is taken offline; for 30 days afterwards you can ask us for an export of your content, after which we delete it.
Availability. We use reputable infrastructure and aim for continuous availability, but the service is provided without a guaranteed uptime level; occasional maintenance and factors beyond our control can cause interruptions.
5. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that: we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill; and our total liability arising from or in connection with the services in any 12-month period is limited to the fees you paid us in that period. If you are a consumer, your statutory rights are not affected by these terms.
6. General
Events genuinely beyond a party's reasonable control suspend affected obligations while they last. These terms plus any accepted proposal are the entire agreement between us and replace prior discussions. If a court finds part of these terms unenforceable, the rest still applies. We may update these terms; material changes to an active subscription will be notified at least 30 days ahead. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction (except that consumers keep any right to bring proceedings in their local courts).
